Jinglle

Welcome to Jinglle. Jinglle is an online marketplace that connects independent makers and small businesses with buyers. These Terms of Service govern your access to and use of the Jinglle website, apps, and related services.

By using Jinglle, you agree to these Terms. If you do not agree, do not use Jinglle.

1. Definitions: "Jinglle,” "we,” "us,” and "our” mean the Jinglle marketplace and its operators. "User” means any person who accesses or uses Jinglle. "Buyer” means a User who purchases items through Jinglle. "Seller” means a User who lists and sells items through Jinglle. "Listing” means a product page created by a Seller. "Content” means text, photos, images, video, messages, reviews, listings, and any other material provided by Users.

2. Eligibility and Accounts: You must be at least 18 years old to create an account, or the age of majority in your location. You agree to provide accurate information and keep it updated. You are responsible for all activity on your account, including keeping your login credentials secure. We may suspend or terminate accounts that violate these Terms or create risk for Jinglle or other Users.

3. Marketplace Role and Relationship Between Buyers and Sellers: Jinglle is a marketplace platform. Unless Jinglle is clearly identified as the Seller on a listing, Jinglle is not the Seller of items and does not take ownership of items listed by Sellers. The purchase contract is formed between the Buyer and the Seller. Sellers are responsible for their listings, item quality, fulfillment, customer service, warranties they offer, and compliance with applicable laws. Jinglle may provide tools, payment processing support, dispute tools, and customer support, but Jinglle does not guarantee that any transaction will be completed or that items will meet expectations.

4. Listings, Seller Standards, and Prohibited Items: Sellers must provide accurate listings including pricing, item descriptions, photos, variations, processing time, shipping details, and policies. Sellers must honor their stated terms, ship on time, and communicate promptly. Prohibited conduct includes selling illegal goods or services, selling stolen items or facilitating infringement, selling items that promote violence, hate, or harassment, posting misleading listings, fake reviews, or deceptive pricing, and attempting to move transactions off platform to avoid fees. We may remove listings, limit visibility, or suspend Seller privileges for violations.

5. Orders, Payments, and Fees: When a Buyer places an order, the Buyer authorizes payment for the item price, shipping, taxes, and any other amounts shown at checkout. Jinglle may collect fees from Sellers such as listing fees, transaction fees, payment processing fees, advertising fees, or subscription fees. Fees and fee calculations will be displayed in your Seller dashboard or other fee schedule posted by Jinglle. Sellers authorize Jinglle and its payment partners to process payments and disburse funds to Sellers, subject to holds, reserves, refunds, chargebacks, compliance checks, and risk controls. We may update fees with notice as required by law. Continued use of Jinglle after changes means you accept the updated fees.

6. Shipping, Delivery, and Customs: Sellers are responsible for packaging, shipping, and delivery of orders. Sellers must provide accurate shipping estimates and any tracking information when available. Buyers are responsible for providing accurate delivery information. For international orders, Buyers may be responsible for customs duties, taxes, and import fees, unless a listing clearly states otherwise.

7. Returns, Refunds, Cancellations, and Disputes: Sellers must clearly state their return and cancellation terms on each listing or in their shop policies, and must comply with applicable consumer laws. If a Buyer believes an order has an issue, the Buyer should contact the Seller first to try to resolve it. Jinglle may offer a dispute process and may request evidence such as photos, tracking, and message history. Jinglle may issue refunds, reverse funds, place holds, or take other action when needed to resolve disputes, comply with legal obligations, or manage risk, consistent with our policies. Chargebacks initiated by Buyers may result in a reversal of funds and fees. Sellers agree to cooperate in responding to chargeback requests.

8. User Content, Reviews, and Messages: You retain ownership of your Content. By posting Content on Jinglle, you grant Jinglle a worldwide, non exclusive, royalty free license to host, use, reproduce, modify, adapt, publish, display, and distribute the Content to operate, market, and improve Jinglle. This includes the right to use product photos and listing content to promote listings and the marketplace. You represent that you have rights to your Content and that it does not violate laws or third party rights. We may remove Content that violates these Terms, our policies, or applicable law.

9. Intellectual Property and Platform Use: Jinglle and its logos, brand elements, software, and site content are owned by Jinglle or its licensors and are protected by intellectual property laws. You may not copy, scrape, reverse engineer, interfere with, or misuse the platform. You may not use Jinglle branding without written permission.

10. Acceptable Use and Safety: You agree not to harass, threaten, or impersonate others, post malware or attempt to gain unauthorized access to systems, use automated tools to access or collect data without permission, manipulate search, rankings, reviews, favorites, or sales metrics, or engage in fraud, money laundering, or other illegal activity. We may investigate suspected violations and cooperate with law enforcement as required.

11. Seller Compliance and Taxes: Sellers are responsible for complying with all laws that apply to their business, products, labeling, safety requirements, and marketing claims. Sellers are responsible for determining and paying any taxes related to their sales, unless Jinglle is required to collect and remit certain taxes under applicable law. Jinglle may request identity verification or tax information where required.

12. Third Party Services and Links: Jinglle may integrate third party services such as payment processors, shipping tools, analytics, or social logins. Your use of third party services is subject to their terms and privacy practices. Jinglle is not responsible for third party services.

13. Termination: You may stop using Jinglle at any time. We may suspend or terminate your access if you violate these Terms, pose risk, or if required by law. Termination may not eliminate obligations related to prior transactions, refunds, chargebacks, fees owed, or legal compliance.

14. Disclaimers: Jinglle provides the marketplace on an as is and as available basis. To the maximum extent allowed by law, Jinglle disclaims warranties of merchantability, fitness for a particular purpose, and non infringement. Jinglle does not guarantee that the platform will be uninterrupted, secure, error free, or that listings, sellers, or buyers will meet expectations.

15. Limitation of Liability: To the maximum extent permitted by law, Jinglle will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption. Jinglle’s total liability for any claim will not exceed the amounts of fees paid to Jinglle by the User in the 3 months before the event giving rise to the claim, or 100 dollars if no fees were paid, whichever is greater, unless applicable law requires otherwise. Some jurisdictions do not allow certain limitations, so some limits may not apply to you.

16. Indemnification: You agree to defend, indemnify, and hold harmless Jinglle and its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, and expenses arising from your use of Jinglle, your listings, your products, your Content, or your violation of these Terms or law.

17. Changes to These Terms: We may update these Terms from time to time. We will post the updated version and update the Effective Date. If changes are material, we may provide additional notice. Continued use after changes means you accept the updated Terms.

18. Privacy: Your use of Jinglle is also governed by our Privacy Policy. Please review the Privacy Policy page available on Jinglle.

19. Governing Law and Dispute Resolution: These Terms are governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict of laws rules. Venue for disputes will be in Harris County, Texas, unless applicable law requires otherwise.
